Commercial Property

Razina is a commercial property specialist with over 16 years experience. Prior to joining Davitt Jones Bould, Razina practised at Trowers and Hamlins in their development, investment and regeneration team, at Burges Salmon as well as Clarke Willmott.

​

She is able to advise on the full spectrum of commercial property matters including property finance, development, energy, property insolvency, landlord and tenant issues as well as acquisitions to name a few.

​

Most recently, Razina has acted as lead associate on the multibillion pound development for HS2 railway at Arden Cross in the West Midlands. This included advising the local authority as landowner on a Collaboration Agreement with a consortium of landowners, land agreements, funding of a multi-storey car park to accommodate 8,000 parking spaces and attending client board meetings and all parties meetings to assist on strategy of the Project.

WORK HIGHLIGHTS INCLUDE ​

  • Advised on the multibillion pound development for HS2 railway at Arden Cross in the West Midlands. This included advising the local authority as landowner on a Collaboration Agreement with a consortium of landowners, land agreements, funding of a multi-storey car park to accommodate 8,000 parking spaces and attending client board meetings and all parties meetings to assist on strategy of the Project.

  • Advised a combined authority on the regeneration of a railway station gateway scheme. This included advising on the acquisition of land for demolition, rights over neighbouring land for pedestrianisation schemes public realm spaces which included negotiating funding agreements, contracts for sale and leaseback arrangements.

  • Advised a local authority in a competitive dialogue process to procure a development partner for a multi-million pound development of a hotel, office building, residential and public realm space. This included follow up negotiating and drafting the development agreement, overage agreements, building leases and licences, oversailing agreements and generally advising on board approvals for the local authority executive committee.

  • Acted for an investment company in acquiring strategic land for promotion and disposal for residential development purposes. This included drafting and negotiating conditional contracts for sale and Transfers including overage provisions.

  • Acted on wide ranging commercial property matters for clients such as The Crown Estate, The London Development Agency, Royal Botanical Gardens Kew, Lloyds TSB, local schools and charities.

    • Islamic Finance – acted for sovereign wealth funds, shariah compliant off-shore funds and Islamic investments banks in developing structured mortgage products and in the acquisition and disposal of student accommodation buildings and other real estate assets.

    • Property Finance - acted for major banks in portfolio finance/refinance; carrying out due diligence; reporting on security; and reporting on validity of appointment of receivers.

    • Property Insolvency - acted for major banks in the appointment of LPA Receivers; acting for receivers in portfolio management and general landlord and tenant matters.

    • Energy - involved in renewable -energy development acting for landowners, developers, financiers and energy companies in respect of solar energy, wind farms and bio-mass projects.

    • Corporate Support - acted for sellers and purchasers in share and asset sales/purchases; negotiation of warranties and indemnities; disclosure letters; and due diligence reporting.

    • Development - acted for landlords in the acquisition and leases for developments of hotels, shopping centres and student accommodation buildings, including acting for off-shore funds and investors and obtaining foreign legal opinion.

    • Public Sector – acted for local authorities in transfer and leasing of commercial property, acting for the London Development Agency in regeneration of the Royal Albert Docks and assisting in the competitive dialogue process relating thereto

    • General landlord and tenant - acting for private and public sector landlords in drafting, negotiating and reporting on a full range of landlord and tenant documentation including leases, agreements for lease, licences, deeds of variations and easements; and advising and negotiating freehold contracts and transfers of investment and non-investment property.
